Corporate Power of Attorney (Board-Signed, Notarised)
A corporate POA needs three overlapping proofs: that the board authorised the delegation, that the signing director actually holds office, and that the signature on the instrument is theirs. FAQ
Do all directors need to attend or only the signatory?
Only the signing director, provided the board resolution names them. Bring the resolution minutes; we exhibit them by letter to the notarial certificate.
Does the corporate seal need to be affixed?
Only if the receiving jurisdiction requires a common seal (some Commonwealth registrars still do). For SEC and ACRA filings the notarised signature alone is sufficient.
Can we issue the POA under a Thai holding company acting for a foreign subsidiary?
Yes — that is the standard M&A pattern. We add a recital confirming the corporate group relationship and the underlying shareholder agreement.
